Lexore Inc. and its subsidiaries (collectively, “Lexore,” “we,” “us,” “our”) provide an online software platform designed to streamline video production through tools such as idea generation, shot lists, storyboards, and editing workflows (collectively, the “Services”). These Services are provided to you through our website at www.lexore.io (the “Site”) and through related applications and software (together, the “Service(s)”). By accessing or using the Services, you agree to be bound by these Terms of Service (“Terms”). If you do not agree, you may not use the Services.

We may modify these Terms from time to time. Changes will be posted on this page, and the “Last updated” date at the top will be revised. We may also notify you via email or the Services’ user interface. Changes will take effect no later than fourteen (14) days after they are posted, except for legal or functionality changes, which are effective immediately. Continued use of the Services after such changes indicates acceptance of the updated Terms.

PLEASE READ THESE TERMS OF SERVICE CAREFULLY. THESE TERMS CONTAIN AN AGREEMENT TO ARBITRATE, WHICH REQUIRES THAT YOU RESOLVE DISPUTES WITH LEXORE THROUGH BINDING ARBITRATION ON AN INDIVIDUAL BASIS. YOU ALSO WAIVE YOUR RIGHT TO PARTICIPATE IN CLASS ACTIONS OR REPRESENTATIVE PROCEEDINGS.

Key Terms

1. “User,” “you,” or “your” refers to anyone accessing or using the Services, including individual users and organizations.

2. “Client” refers to an individual or organization that registers for or uses Lexore’s Services to manage video production projects.

3. “Software Services” refer to all tools, features, and functionalities provided by Lexore, including but not limited to AI-generated ideas, storyboards, shot lists, and editing workflows.

Access and Use of the Services

1. Services Provided

Lexore offers a software platform to facilitate video production by providing tools for generating ideas, organizing pre-production workflows, and supporting editing processes. Lexore itself does not create, edit, or produce videos.

2. Account Registration

To access certain features, you may need to register an account. You agree to provide accurate, current, and complete information during registration and to update such information as necessary. You are responsible for safeguarding your account credentials and all activities under your account.


3. User Responsibilities

You agree to use the Services only for lawful purposes and in accordance with these Terms. You may not:

• Reverse-engineer, decompile, or misuse the software.

• Upload malicious code or data that may disrupt the Services.

• Use the Services in violation of any laws, regulations, or intellectual property rights.

Payment Terms

1. Subscription Fees

Lexore operates on a subscription-based model. Users must pay applicable subscription fees to access premium features or usage-based credits. Pricing and details are available on our website. Subscription fees are non-refundable except as required by applicable law

2. Payment Methods

You authorize Lexore to charge your payment method for all fees incurred under your account, including applicable taxes. Payments must be made in the currency specified at the time of purchase.

3. Credit Usage

Some features of Lexore (e.g., AI-generated outputs) may require usage-based credits. Credits are purchased separately or included in certain subscription tiers. Credits are non-transferable and expire after the period specified in your plan.

Modifications to the Services

Lexore reserves the right to modify, suspend, or discontinue any part of the Services at its sole discretion. We will notify users of significant changes that may impact access or functionality. Lexore is not liable for any modifications, interruptions, or discontinuation of the Services.

Intellectual Property Rights

All content, software, and tools provided by Lexore are the property of Lexore or its licensors and are protected by copyright, trademark, and other applicable laws. You are granted a limited, non-exclusive, non-transferable license to access and use the Services for personal or internal business purposes. You may not copy, distribute, or create derivative works of the Services without prior written consent.

User Content

You may upload or input data, including images, text, and videos, into the Services (“User Content”). By using the Services, you grant Lexore a worldwide, royalty-free license to process, store, and display your content solely for the purpose of providing the Services. You retain ownership of your content and are responsible for ensuring it does not violate any third-party rights or laws.

Disclaimers and Limitations of Liability

The Services are provided “as is” and “as available,” without warranties of any kind, express or implied. Lexore does not guarantee uninterrupted, secure, or error-free operation of the Services.

To the fullest extent permitted by law, Lexore will not be liable for indirect, incidental, special, consequential, or punitive damages, including loss of profits or data, arising from your use of the Services. In no event shall Lexore’s total liability exceed the fees paid by you to Lexore in the twelve (12) months prior to the claim.

Dispute Resolution and Arbitration

Any disputes arising out of or related to these Terms or the Services will be resolved through binding arbitration conducted under the rules of the American Arbitration Association. You agree to waive the right to a trial by jury or to participate in class actions.

Termination

Lexore may suspend or terminate your account or access to the Services at any time for violations of these Terms or inactivity. Upon termination, your access to the Services will cease, and Lexore may delete your account data in accordance with its data retention policies.

General Provisions

Governing Law: These Terms are governed by the laws of the State of Georgia, without regard to its conflict of laws provisions.

Entire Agreement: These Terms constitute the entire agreement between you and Lexore regarding the Services.

Severability: If any provision is found unenforceable, the remaining provisions will remain in effect.
